'll begin with disclosure: have a small position in TRTC. was studying some of their financial statements the other day and a big question hit me: How is an American-based cannabis company listed on the OTC? t would make more sense if they were like LHSF, THUF, etc. and based in Canada and listed on the CSE with ADR's back in the States. But, to my knowledge TRTC is based in rvine, California and listed only on the OTC. How did this happen? Cannabis is still a schedule 1 drug in the USA... Aurora Cannabis: Striking oil with CanniMed

fter a several months long drama between urora Cannabis (CB) and CanniMed (CMED), the two companies finally agreed to a friendly deal that sees CB purchasing CMED for $1.1 billion. The companies agreed to a $1.1 billion cash/stock purchase for CMED shareholders. This values CMED shares at $43 a share. The cash for the deal is capped at $140 million. ssuming the maximum amount of cash is elected then CMED shareholders can expect around $5.70 and approximately 3 shares of CB per share of CMED. This deal is the largest consolidation deal in the industry so far. The sentiment of r/weedstocks is that CB is making a huge mistake and grossly overpaying for a company with relatively few assets. CB now has a nearly equal valuation as the industry giant Canopy Growth Corp (WEED). I had a hard time believing that CB would pay such a massive sum of money for relatively little upside gain so I did some research into CMED in order to understand the valuation and desirability that CB saw in them. 97,000 sq. ft. above-ground production facility and a total growing capacity of 7,000 kg. 7,000 kg of marijuana will add revenues of approximately $50 million to CB's books if sold recreationally. Not insignificant but certainly not worth $1.1 billion. lso, CMED has a second facility in White Pine, Michigan with 35,000 sq. ft. of production and office space and 19,000 sq. ft. of underground growth chambers currently under construction. So that comes to about half the size of their Canadian facility. This facility, however, may help CB enter a U.S. market as it eases regulation on marijuana. gain, the two sites are not worth $1.1 billion. Those assets are nice of course, but the subreddit as a whole feels that CB is wasting money on assets that are priced way out of proportion and hindering its progress on expanding for recreational legalization. However, I do not believe this deal was about additional production or getting recreational ready. It may not even be as crazily priced as most people seem to believe. In pril of 2017 CMED approved a project aimed at expanding its marijuana oil production. The facility, with an expected $10.5 million price tag and estimated 20 month completion date will have the ability to supply the equivalent of 12 million 60 ml bottles of CanniMed oil every year. What exactly does this mean and why do I think CB acquired a valuable asset because of it? Looking at CMED's current oil products we can start to get an idea of the value of this facility. Three oil products are valued at $129, $149, and $169. t full production and sales from this facility, CB could expect $1.8 billion in annual revenues. Now that number right there is worth $1.1 billion. Details about the products show that each bottle of oil is the equivalent to ten grams of herbal product. Ten grams dried flower would sell for approximately $70 on the recreational market. In the medical market, the mark up is much higher. This gives CB much larger profit margins than recreational sales. nd with CB's current facilities and the completion of urora Sky, CB would be able to increase profit margins by growing and processing the product all under one company. I'm going to go against the sentiment of the subreddit and claim that this deal is a huge asset to CB. ACB-CMED - can someone explain the dilution concern?

ccording to web.tmxmoney, urora has ~450m shares outstanding and CMED at ~24m shares outstanding. With the merger, would there then be ~475m shares outstanding? t which point, given the current market caps of these two companies, would make CB worth ~$16 a share. ssuming CMED is overvalued 2x and is worth half of what it is, adding market cap and then dividing by shares outstanding would still leave CB trading at $15. Of course you can say 'well CB is super overvalued right now too, not just CMED' though with the current numbers and given that CMED has a tiny amount of shares outstanding compared to CB, I don't understand the dilution argument. Thoughts on the day (Jan4th)

he more I think about it, the more I think the US news (Sessions and then responses in media) is a coincidental blessing in disguise. Smart US $$, of which there must be lots with people seeing what kinds of gains are possible in this Can weedstock market, will shift even more so to Can stocks. I would guess that those with OC listings will do particularly well. We all recognized that a correction was due and I believe it came, irrespective of the US news but then was initially bolstered by it. hing is, I think it's going to help temper the correction amd fuel further growth (and thus trading/investing opportunity). All in all, after going through the last 1.5y of volatility, I'm finally finding it easier to sit back, buy more in dips (even if I don't catch the bottom) and realize that when these crazy days happen, in most cases nothing of any significance has really changed. I've trusted my dd and instincts on this sector so far and it has paid off in spades. Added MJN today and will be adding more with any further dip. he number of times I fretted over pennies these last 1.5y and as a result missed out on literally thousands of dollars is depressing in retrospect. MJN will go up. And way up. For that matter I think most of the sector will continue to go up. Cronos just happens to be the company I'm most comfortable with and the returns have strengthened my opinion. I could very easily be wrong and we could be facing a weeks-long correction/burst. I can't see it but it's definitely possible. Going out on a limb with some honest thoughts and very curious how tomorrow and following days will play out.
